TERMS OF SALE

1. CLIENT APPROVAL & AUTHORIZATION

By accepting this Estimate, Sales Order, or digitally signing this Agreement, the Client confirms they have reviewed and approved all quantities, specifications, product selections, customization details, vendor selections, pricing, and other information contained herein. The Client authorizes Savvy Nest Goods to proceed with procurement and related services based on these approved details.

2. UPFRONT PAYMENT POLICY & FUNDS CLEARANCE

This Agency operates under a strict 100% upfront payment policy. No vendor orders will be processed, secured, or executed until invoice funds have successfully cleared into Savvy Nest Goods’ business bank account. The Client acknowledges that payment processing clearance times directly impact vendor ordering timelines. Processing timelines generally average one (1) business day for Credit Card transactions and three to five (3-5) business days for ACH/Bank Transfers.

3. PAYMENT METHODS & PROCESSING FEES

The Client may pay by ACH, bank transfer, credit card, or other payment methods made available by Savvy Nest Goods. To avoid processing surcharges, the Client is encouraged to utilize the $0-fee ACH Bank Transfer option. If the Client elects to pay by credit card, a processing surcharge of up to 3.0% may apply to that transaction, provided that the surcharge does not exceed Savvy Nest Goods' actual cost of processing the credit card payment. No surcharge applies to debit card payments. 

4. PRICING & AVAILABILITY

Pricing and product availability are subject to vendor confirmation at the time of order unless otherwise expressly guaranteed in writing. Estimates are based on information available at the time of preparation and may be subject to change due to inventory availability, vendor price increases, freight charges, production requirements, tariffs, taxes, or other third-party costs. If a material change occurs before an order is placed, Savvy Nest Goods will notify the Client and obtain approval before proceeding when reasonably practicable.

5. CANCELLATION, CHANGES & REFUNDS

The Client understands that many products and services are sourced, reserved, customized, or ordered specifically for them. Once Savvy Nest Goods has placed an order with a vendor, approved production, reserved inventory, or otherwise incurred a nonrecoverable cost on the Client's behalf, the order may not be cancelled, modified, or refunded except as expressly agreed by Savvy Nest Goods in writing or as required by applicable law. Any cancellation or modification requested before that point is subject to vendor policies, applicable fees, and Savvy Nest Goods' approval.

6. THIRD-PARTY VENDORS & PRODUCTS

Savvy Nest Goods acts as an independent procurement and sourcing agency and may facilitate the purchase of products and services from third-party vendors. Unless expressly stated otherwise in writing, Savvy Nest Goods is not the manufacturer, distributor, carrier, or warrantor of third-party products. Product availability, manufacturing, production schedules, shipping dates, freight performance, and product quality are subject to circumstances outside Savvy Nest Goods' control. Savvy Nest Goods does not guarantee that vendor-provided inventory, production dates, delivery dates, colors, materials, or product specifications will remain available or unchanged after Client approval. Any applicable manufacturer or vendor warranty will be subject to that third party's terms and conditions.  All products are sold exclusively for personal use, internal gifting, or event distribution. Any form of resale, secondary market listing, or unauthorized redistribution is strictly prohibited. Savvy Nest Goods reserves the right to cancel any orders suspected of violating this policy, ban the account from future sales, and immediately terminate our relationship with the facility. Additionally, any individual found violating these terms will be reported directly to the manufacturing vendor for permanent restriction from direct future purchases. 

7. CLIENT MATERIALS, INTELLECTUAL PROPERTY & VARIATIONS

• Client Accuracy: The Client is solely responsible for the accuracy and completeness of all information, artwork, logos, trademarks, names, personalization details, quantities, sizes, shipping information, and other materials supplied or approved by the Client. The Client is responsible for reviewing all proofs, mockups, specifications, and order details before approval. Savvy Nest Goods shall not be responsible for errors, omissions, or inaccuracies contained in materials approved or supplied by the Client.
• Intellectual Property: The Client represents and warrants that it owns or has obtained all necessary rights, licenses, and permissions to use any artwork, trademarks, logos, designs, or other intellectual property supplied to Savvy Nest Goods. The Client agrees to indemnify and hold Savvy Nest Goods harmless from claims arising from Savvy Nest Goods' authorized use of Client-provided materials.
• Product Variations: The Client acknowledges that product colors, materials, sizing, placement, embroidery, printing, and other specifications may vary reasonably from digital renderings, samples, mockups, or previous production runs. Such commercially reasonable variations shall not constitute a defect or basis for cancellation or refund.

8. SHIPPING, DELIVERY & INSPECTION

• Delivery Timelines: Estimated production and delivery dates are estimates only and are not guaranteed unless expressly agreed otherwise in writing. Savvy Nest Goods is not responsible for delays, loss, damage, or other failures attributable to carriers, freight providers, vendors, weather, supply-chain interruptions, or other circumstances beyond its reasonable control. The Client is responsible for providing accurate delivery information and ensuring that an authorized recipient is available to accept delivery.
• Inspection Period: The Client shall inspect all products promptly upon delivery and notify Savvy Nest Goods in writing of any alleged shortage, damage, defect, or discrepancy within three (3) business days of delivery. The Client shall provide reasonable documentation, including photographs when applicable, to support the claim. Failure to provide notice within this period shall constitute acceptance of the products to the fullest extent permitted by law. Savvy Nest Goods will reasonably assist the Client in submitting valid claims to the applicable vendor or carrier but does not guarantee the outcome of any third-party claim.

9. LIMITATION OF LIABILITY & FORCE MAJEURE

• Limitation of Liability: To the fullest extent permitted by applicable law, Savvy Nest Goods' total liability arising out of or relating to any Estimate, Sales Order, product, or service shall not exceed the amount actually paid to Savvy Nest Goods for the specific transaction giving rise to the claim. In no event shall Savvy Nest Goods be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, loss of business opportunity, or reputational harm.
• Events Beyond Reasonable Control (Force Majeure): Savvy Nest Goods shall not be responsible for delays or failure to perform resulting from events beyond its reasonable control, including but not limited to acts of God, severe weather, natural disasters, labor disputes, supply-chain disruptions, acts of government, tariffs, war, terrorism, pandemics, transportation interruptions, or vendor or carrier failures.

10. TAXES & GOVERNMENT CHARGES

Unless expressly stated otherwise, quoted prices do not include applicable sales, use, excise, or similar taxes, duties, tariffs, or government-imposed charges. Applicable taxes and charges will be added to the Client's invoice and collected and remitted by Savvy Nest Goods where required by applicable law. The Client is responsible for providing any valid tax-exemption documentation before invoicing.
